ECRP Command Center End-User License Agreement

Effective Date: August 27, 2026

This End-User License Agreement (“Agreement”) governs access to and use of the ECRP Command Center and related digital services provided by Extended Care Respiratory Partners, LLC (“ECRP,” “we,” “our,” or “us”).

By accessing, signing into, or using the ECRP Command Center, you acknowledge that you have read, understand, and agree to comply with this Agreement.

1. Purpose and Authorized Use
The ECRP Command Center is a proprietary business-management platform intended for authorized ECRP personnel and other individuals specifically approved by ECRP.

The platform may support functions including facility management, business development, contract management, facility launch readiness, accounts receivable monitoring, accounting integrations, financial reporting, facility profitability analysis, debt management, administrative reporting, and user-access management.

Access to information and functionality may be limited according to a user's assigned role, permissions, facility responsibilities, and business needs.

The ECRP Command Center is intended for legitimate ECRP business purposes only.

2. License
Subject to this Agreement, ECRP grants authorized users a limited, non-exclusive, non-transferable, non-sublicensable, and revocable right to access and use the ECRP Command Center solely for authorized ECRP business purposes.

This Agreement does not transfer ownership of the ECRP Command Center or any associated software, content, designs, workflows, data structures, trademarks, branding, documentation, or other intellectual property.

All rights not expressly granted under this Agreement are reserved by ECRP and its applicable licensors or service providers.

3. User Accounts and Security
Users are responsible for maintaining the confidentiality and security of their account credentials.

Users may not:

• Share login credentials with another individual;

• Permit unauthorized individuals to use their account;

• Attempt to access another user's account;

• Attempt to bypass security or access controls;

• Access information or functionality outside their authorized role;

• Misrepresent their identity or authority; or

• Attempt to gain unauthorized administrative privileges.
   

Users must promptly report suspected unauthorized access, compromised credentials, or other security concerns to ECRP.

ECRP may monitor and audit access to the ECRP Command Center for security, compliance, operational, and administrative purposes.

4. Acceptable Use
Users may not use the ECRP Command Center to:

• Violate applicable laws or regulations;

• Access, modify, or disclose information without authorization;

• Introduce malicious software, harmful code, or other security threats;

• Interfere with the security, availability, or operation of the platform;

• Circumvent authentication or authorization controls;

• Reverse engineer, copy, reproduce, modify, or redistribute proprietary software except where expressly authorized;

• Conduct fraudulent or misleading activities;

• Use ECRP systems for unauthorized commercial or personal purposes; or

• Take actions that could reasonably compromise ECRP systems, information, or third-party services.
   

5. QuickBooks Online Integration
The ECRP Command Center may integrate with QuickBooks Online, provided by Intuit, to support authorized ECRP accounting and management functions.

QuickBooks Online remains the accounting system of record for accounting information maintained in QuickBooks.

Subject to authorization and available permissions, the ECRP Command Center may retrieve, process, display, or synchronize QuickBooks information such as:

• Chart of accounts;

• Customers;

• Vendors;

• Invoices;

• Payments;

• Expenses;

• Liability accounts;

• Accounting balances; and

• Related accounting and transaction information.
   

ECRP may use synchronized QuickBooks information for legitimate business functions including accounts receivable monitoring, collections tracking, expense attribution, facility profitability reporting, debt oversight, financial reporting, and management analysis.

Certain authorized users may initiate approved actions from the ECRP Command Center that result in information being created or updated in QuickBooks Online.

Such functionality is restricted according to applicable user permissions and ECRP controls.

Users may not use the QuickBooks integration to access or modify accounting information outside the scope of their authorized responsibilities.

6. Third-Party Services
The ECRP Command Center may integrate with or depend upon third-party software, hosting providers, accounting platforms, authentication providers, or other technology services.

Third-party services may be governed by separate terms of service, privacy policies, security requirements, and availability standards.

ECRP does not control all aspects of third-party platforms and cannot guarantee their continuous availability or performance.

7. Business Records and Data
Information created, received, synchronized, maintained, or processed through the ECRP Command Center may constitute ECRP business records.

Users may not improperly delete, alter, export, disclose, distribute, or otherwise misuse ECRP business information.
Accounting information displayed in the ECRP Command Center may depend upon synchronization timing and information available from QuickBooks Online or another applicable source system.

When a discrepancy exists, users should verify material accounting information against the applicable system of record.

8. Healthcare and Protected Information

ECRP operates within the healthcare sector and maintains separate policies and procedures regarding privacy, security, HIPAA compliance, and the handling of protected health information.

The ECRP Command Center is primarily an administrative, financial, and business-management platform. It is not intended to serve as an electronic medical record or patient portal.

Users must comply with applicable ECRP privacy, security, HIPAA, and information-handling policies when using ECRP systems.

Protected health information should not be entered into accounting systems or other third-party platforms unless such use is specifically authorized and appropriately protected.

9. Privacy
Information collected and processed through the ECRP Command Center is subject to the ECRP Privacy Policy and applicable ECRP policies and procedures.

ECRP may maintain security logs, audit records, access information, and other technical information reasonably necessary to operate, secure, and administer the platform.

10. Intellectual Property
The ECRP Command Center, including its design, branding, software configuration, workflows, documentation, content, reports, and other proprietary materials, is owned by or licensed to ECRP except where otherwise indicated.
Nothing in this Agreement grants users ownership rights in ECRP intellectual property.

“ECRP,” “Extended Care Respiratory Partners,” associated logos, and related branding are proprietary to Extended Care Respiratory Partners, LLC, subject to applicable intellectual-property rights.

11. Suspension and Termination of Access
ECRP may restrict, suspend, or terminate a user's access to the ECRP Command Center at any time when reasonably necessary for security, compliance, employment, contractual, operational, or other legitimate business purposes.

Upon termination of authorization, the user's right to access or use the ECRP Command Center immediately ends.

Termination of access does not eliminate obligations regarding confidentiality, proprietary information, business records, or other provisions that reasonably survive termination.

12. System Availability and Changes
ECRP may modify, update, replace, suspend, or discontinue portions of the ECRP Command Center at any time.

ECRP does not guarantee that the platform or any third-party integration will operate uninterrupted or error-free.

Maintenance, updates, internet availability, third-party outages, security events, or other circumstances may temporarily affect access.

13. Disclaimer
The ECRP Command Center is provided for authorized business and management purposes.

To the extent permitted by applicable law, the platform is provided without warranties regarding uninterrupted availability or freedom from all errors.

Information presented within the ECRP Command Center may depend upon data supplied by users or third-party systems. Users remain responsible for reviewing and validating material business and accounting information when appropriate.

14. Limitation of Liability
To the extent permitted by applicable law, ECRP shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages resulting from access to, use of, inability to use, or reliance upon the ECRP Command Center.

Nothing in this Agreement limits liability that cannot legally be limited or excluded.

15. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of South Carolina, without regard to conflict-of-law principles.

16. Changes to This Agreement
ECRP may update this Agreement periodically to reflect changes in the ECRP Command Center, applicable integrations, legal requirements, security practices, or business operations.

The effective date displayed at the top of this page identifies the current version.

Continued use of the ECRP Command Center after updated terms become effective constitutes acceptance of the revised
Agreement to the extent permitted by applicable law.

17. Entire Agreement
This Agreement, together with the ECRP Privacy Policy and other applicable ECRP policies, constitutes the applicable terms governing use of the ECRP Command Center.

If any provision of this Agreement is determined to be unenforceable, the remaining provisions will continue in effect.
